This Business Customer Agreement (this “Agreement”) is entered into between Leo Shipping Hub LLC (“Leo Shipping Hub,” “we,” or “us”) and the business entity that registers a business account (“Customer” or “you”). It supplements, and is in addition to, our Terms of Service and Privacy Policy. Where this Agreement and the Terms of Service conflict for a business account, this Agreement controls. By registering a business account, or by requesting or using services under it, the person accepting represents that they are authorized to bind the Customer to this Agreement.
Leo Shipping Hub is a logistics services provider and intermediary. We arrange transportation, customs clearance, warehousing, and related services on your behalf through independent, third-party licensed carriers, freight forwarders, customs brokers, and other service providers (each, a “Provider”).
The services available to your account depend on your account type, verification status, and the Providers we work with, and may change over time. Availability of any particular mode, lane, or service is not guaranteed and is subject to Provider capacity and applicable law.
You represent, warrant, and agree that:
Leo Shipping Hub does not currently sell, underwrite, or provide cargo insurance.You are solely responsible for arranging any cargo insurance you want. Absent insurance you arrange, recovery for loss, damage, or delay is limited to the performing Provider's liability under its tariff or contract of carriage, which is often far less than the value of the goods.
We arrange services through, and rely on, independent third-party carriers, rate aggregators, and technology providers. They act independently and we do not control them. To the maximum extent permitted by law, we are not liable for their acts, omissions, errors, delays, outages, data, or rate changes, including their negligent, grossly negligent, or intentional conduct, even where we selected, integrated, or monitored them. Rates and transit times are third-party estimates that may change or be repriced until the carrier issues the label or confirms the booking, and adjustments will be billed to you.
Any automated or AI-generated quote, estimate, classification, address, or response is provided for convenience only, may be inaccurate, and does not bind us or any carrier. Final pricing and terms are those confirmed by us or the carrier in writing or at the time the carrier issues the label or booking.
If we provide API access or issue API keys, the API and developer terms in our Terms of Service apply, including the restrictions on reselling or redistributing rate and carrier data.
To the maximum extent permitted by law, Leo Shipping Hub is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, or business interruption. Liability for loss of, damage to, or delay of goods is limited to the liability of the performing Provider under its applicable tariff or contract of carriage. To the maximum extent permitted by law, our total aggregate liability arising out of or related to a shipment or the services is limited to the greater of (a) the fees we actually earned (excluding amounts paid through to Providers, duties, and taxes) for the specific shipment giving rise to the claim, or (b) US $100.
You agree to indemnify, defend, and hold harmless Leo Shipping Hub LLC and its officers, employees, and agents from and against any claims, losses, liabilities, fines, penalties, duties, and expenses (including reasonable attorneys' fees) arising out of or related to your shipments, the contents, value, or description of your goods, your breach of this Agreement or the Terms of Service, or your violation of any law or third-party right.
Claims for loss, damage, or delay must be submitted in writing within the time limits set by the performing Provider's tariff or contract of carriage. Failure to submit a timely, documented claim may bar recovery. We will reasonably assist with filing claims but do not guarantee recovery.
Each party will protect the other's non-public business information disclosed in connection with the services and use it only to perform under this Agreement, except as required by law. This does not restrict our use of shipment data to arrange and improve the services, consistent with our Privacy Policy.
This Agreement applies for as long as you maintain a business account. Either party may terminate on notice. We may suspend or terminate immediately for non-payment, suspected fraud, verification failure, legal or safety reasons, or breach. Termination does not relieve you of charges incurred or obligations that by their nature survive, including sections on payment, liability, indemnification, and dispute resolution.
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including acts of God, weather, natural disaster, war, terrorism, civil unrest, labor disputes, carrier or port congestion, government action, embargoes, pandemics, outages, or the acts or omissions of Providers or third parties.
This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. Except for claims qualifying for small-claims court or for injunctive relief to protect intellectual property, disputes will be resolved by final and binding arbitration seated in California before a single arbitrator under a recognized arbitration body's commercial rules. You and Leo Shipping Hub each waive any right to a jury trial and to participate in a class, collective, or representative proceeding.
